By accessing any areas of www.anjenette.com (the “Website(s)”), or using any of AnJenette LLC’s services (“Services”), the Website(s) and Service(s) collectively the “Platform”, you agree to be legally bound and to abide by the terms and conditions set forth below (these “Terms and Conditions” or “Terms”) including any subsequent modifications to them. Certain features of the Website may be subject to additional guidelines, terms, or rules, which will be posted on the Website in connection with such features.  All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

THESE TERMS AND CONDITIONS GOVERN YOUR USE OF THE WEBSITE.  BY ACCESSING OR USING THE WEBSITE, YOU ARE ACCEPTING THESE TERMS, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE TERMS.  YOU MAY NOT ACCESS OR USE THE SITE OR ACCEPT THE TERMS IF YOU ARE NOT AT LEAST 18 YEARS OF AGE.  IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THESE TERMS, DO NOT ACCESS AND/OR USE THE SITE.

THESE TERMS REQUIRE THE USE OF ARBITRATION (SECTION 13) ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.  THESE TERMS ALSO INCLUDE A LIMITATION OF LIABILITY (SECTION 3) FOR ALL CLAIMS FOR DAMAGES AGAINST ANJENETTE LLC THAT MAY ARISE OUT OF YOUR USE OF THE PLATFORM.

The Platform is owned and operated by AnJenette LLC, a California (USA) limited liability company. Any references herein to AnJenette LLC, www.anjenette.com, “Company,” “we,” “our,” or “us” shall be deemed to refer to the Platform and/or AnJenette LLC as applicable under the circumstances.

Note to Social Media Users. When purchasing Services from the Website, our LinkedIn profile, or other social media page, and when posting information to or otherwise communicating via that page or your own social media page, your activities online are subject to the Terms and Conditions, User’s Agreement, or other terms and conditions imposed by that social media website, which may contain terms and conditions different from these Terms and Conditions. Please see the following pages for further details:

All references in these Terms and Conditions to “AnJenette LLC”, https://www.anjenette.com/ shall be deemed to include both the Website(s) and any and all social media pages maintained from time to time by AnJenette LLC or its affiliates.

  1. OUR SERVICES; TERMS OF SALE

Our Services. Company offers Meditation and Mindful Based Programs for Optimal Wellbeing Services through the Websites and potentially through social media pages maintained by Company on Facebook, LinkedIn, and elsewhere.

Payment. All amounts due for purchases of Services are payable in full at the time of purchase. Recurring charges for ongoing Services shall be due and payable as set forth in a separate agreement entered into between you and the Company.

 

Recurring Installments.  If you purchase any Services with recurring installment payments, you authorize the Company to make regularly scheduled charges in the amount, at the times, and to the designated account linked to the payment method authorized by you. You agree that no prior notification will be provided unless the date or amount changes, in which case you will receive notice from the Company at least fifteen (15) days prior to the payment being collected. Your authorization for recurring payments will remain in effect until you cancel it in writing, and you agree to notify the Company in writing of any changes in your authorized payment information or termination of this authorization at least fifteen (15) days prior to the next billing date. If the payment dates fall on a weekend or holiday, the payments may be executed on the next business day. In the case of a recurring payment being rejected for Non-Sufficient Funds (NSF), the Company may at its discretion attempt to process the charge again within thirty (30) days. You agree not to dispute scheduled transactions with your bank so long as the transactions correspond to the terms indicated in these Terms and Conditions.

In addition to the price due for your recurring installment payments, if there are delinquent amounts or chargebacks associated with your payment, you may be charged fees that are incidental to our collection of these delinquent amounts and chargebacks.  Such fees or charges may include collection fees, convenience fees or other third-party charges.

If Company is unable to collect any amounts due via your selected payment method, you authorize Company to charge any other payment methods on file in your Company account (unless you have previously removed the authorization to charge such payment method(s)).  In addition to other remedies Company may have due to your failure to pay any amounts when due, you shall pay Company a late payment charge equal to 1.5% per month (or the highest rate permitted by law, if lower), along with all costs and expenses, including reasonable attorneys’ fees Company incurs in collecting such amounts.

Your Account. When you make a purchase from this Website, you may create an account as part of the checkout process. You are responsible for maintaining the confidentiality of your password and restricting access to your password and account. You further agree to accept responsibility for all purchases and activities that occur under your account.

Acceptance of Order. Your placement of an order does not necessarily assure that we will accept your order. We reserve the right to refuse any order in our sole discretion. In addition, before accepting your order, we may require additional information if you have not provided all of the information required by us to complete your order. Once a properly completed order is received, authorization of your form of payment is received, and we have accepted your order, we will promptly place your order.

Pricing and Availability. All prices for Services (and the associated costs for tax) are shown in U.S. dollars. Depending upon your credit card’s currency and the country in which your card was issued, your credit card provider may impose foreign exchange fees, conversion fees and other fees which are in accordance with your arrangements with that credit card provider. If you have any questions about these fees or the exchange rate applied to your payment, please contact your bank.  Company is not responsible for such fees and will not reimburse you for any such fees incurred. All Services are subject to availability and we reserve the right to impose limits on any order, to reject all or part of an order, and to discontinue Services without notice, even if you have already placed your order. Company, at its sole discretion, may make promotional offers with different features and different rates to any of Company’s customers.

All prices are subject to change without notice as the Company deems necessary for Company’s business at any time.  You agree that taxes may be adjusted from the amount shown on the payment screens. Several factors may cause this, such as variances between processor programs and changes in tax rates. Company, at its sole discretion, may make promotional offers with different features and different rate to any of Company’s customers.

Currency Conversion.  Company may, in its sole discretion, round up or round down amounts that are payable from you to the nearest whole functional base unit in which the currency is denominated (i.e. to the nearest dollar, Euro, or other supported currency); for example and not by way of limitation, Company may round up an amount of $103.50 to $104.00 and round down on an amount of $103.49 to $103.00.  For currencies that are denominated in large numbers, Company may determine the functional base unit in which those currencies are denominated to be 10, 100, or 1000 of the currency; for example and not by way of limitation, Company may round up an amount of 1145 to 1150 and 1144 down to 1140 if the currency is denominated by base 10.

Payment Terms. Company currently accepts Visa, MasterCard, and American Express credit and debit cards, and PayPal, Apple Pay (collectively, “Payment Method”). By submitting your order, you represent and warrant that you are authorized to use the designated Payment Method and authorize us to charge your order (including taxes) to that Payment Method. If the Payment Method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or cancelled automatically.

Chargeback Policy. All references to a “chargeback” refer to a reversal of your Payment Method charge placed on this Platform. In the event you pay for Services using your Payment Method and subsequently “charge back” your purchase through your merchant account provider, Company reserves the right to terminate these Terms and Conditions and all pending orders and transactions immediately, in addition to any and all available remedies at law or in equity.  Unnecessary chargebacks are theft and can be prosecuted. If you feel that your Payment Method was used fraudulently, please contact us for immediate resolution.

YOU AGREE THAT YOU WILL NOT CHARGEBACK ANY AMOUNTS CHARGED TO YOUR CREDIT OR DEBIT CARD OR PAYPAL ACCOUNT ON THIS WEBSITE. IF YOU CHARGEBACK A CREDIT OR DEBIT CARD OR PAYPAL CHARGE FOR A PAYMENT INITIATED BY YOU, YOU AGREE THAT THIS WEBSITE MAY RECOVER THE AMOUNT OF THE CHARGEBACK, IN ADDITION TO ANY AMOUNT CHARGED US BY THE CREDIT OR DEBIT CARD COMPANY OR PAYPAL FOR SUCH CHARGEBACK, BY ANY MEANS DEEMED NECESSARY, INCLUDING BUT NOT LIMITED TO RECHARGING YOUR CREDIT OR DEBIT CARD OR PAYPAL ACCOUNT OR HAVING THE AMOUNT RECOVERED BY A COLLECTION AGENCY.

Refund Policy. Except for errors as stated below, all sales are FINAL due to the nature of the Services.

Errors. We attempt to be as accurate as possible; however, we do not warrant that all Service descriptions, photographs, pricing, or other information on the Platform is accurate, complete, current, or error-free. If a Service offered by Company is not as described or pictured, your sole remedy is to discontinue use of the Service. In the event of an error, whether on this Website, in an order confirmation, in processing an order, or otherwise, we reserve the right to correct such error and revise your order accordingly, or to cancel the order and refund any amount charged. Your sole remedy in the event of an error is to cancel your order and obtain a refund.

  1. INTELLECTUAL PROPERTY

In General. You acknowledge that Company owns all right, title, and interest in and to the Platform, including without limitation all intellectual property rights, and such rights are protected by U.S. and international intellectual property laws.  You agree that you will not copy, reproduce, alter, modify, or create derivative works from any portion of the Platform.  Such rights derive from any of Company’s copyrights, trademarks, patents, trade dress, and other such intellectual property rights that Company may have with regard to the Platform.

Additionally, you acknowledge that these Terms do not convey or grant you any rights to use or reference in any manner Company’s name(s), logos, trademarks, product names, and/or service names.

All trademarks not the property of Company which may appear on the Platform are the property of their respective owners.  The use of any such trademarks by Company is not meant to constitute affiliation, endorsement, or approval by such company with or for Company or the Platform as a whole.

Survival. This Section 2 shall survive termination of these Terms.

  1. DISCLAIMERS AND LIMITATION OF LIABILITY

You expressly agree that use of the Services is at your sole risk. Neither Company nor its affiliates, nor any of their members, managers, owners, officers, directors, employees, agents, third-party content providers, merchants, licensees, licensors, assigns, subsidiaries, suppliers, partners, advertisers, sponsors, or affiliates, including, without limitation, all parties involved in creating, producing, and/or delivering this Platform and/or Services and/or contents available on this Platform, and/or payments made through the Platform (collectively “Providers”), or the like, warrant that this Platform will be uninterrupted or error free, nor do they make any warranty as to any of the Services, or as to the accuracy, reliability, or currency of any information, content, service, or merchandise provided through this Website.

Disclaimer of Warranties (Service Is Provided “As Is”). YOUR ACCESS TO AND USE OF THE PLATFORM PROVIDED BY COMPANY ARE AT YOUR OWN RISK.  YOU UNDERSTAND AND AGREE THAT THE PLATFORM (INCLUDING THE ABILITY TO PURCHASE SERVICES) COMPANY PROVIDES ARE STRICTLY PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS.  WITHOUT LIMITING THE FOREGOING, COMPANY DISCLAIMS ANY WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY COMPANY AND ITS PROVIDERS.  COMPANY MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY OR COMPLETENESS OF ANY CONTENT MADE AVAILABLE ON THIS PLATFORM. Limitation of Liability and Indemnification. IN NO EVENT SHALL COMPANY’S AGGREGATE LIABILITY EXCEED THE LESSER OF THE AMOUNTS ACTUALLY PAID BY AND/OR DUE FROM YOU IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. IN NO EVENT SHALL COMPANY OR ITS PROVIDERS BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, COMPANY, INCLUDING, BUT NOT LIMITED TO, THE USE, MISUSE OR INABILITY TO USE THIS WEBSITE OR FOR ANY CONTENT, MATERIALS, SERVICES, OR OTHER INFORMATION OBTAINED FROM OR THROUGH COMPANY, OR FOR ANY INTERRUPTION, INACCURACY, ERROR, OR OMISSION, REGARDLESS OF CAUSE IN THE CONTENT, EVEN IF COMPANY OR ITS PROVIDERS HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CERTAIN STATES AND/OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR CERTAIN OTHER TYPES OF DAMAGES, SO THE EXCLUSIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD COMPANY AND ITS PROVIDERS HARMLESS FROM ALL LIABILITIES, CLAIMS, AND EXPENSES, INCLUDING ATTORNEYS' FEES, THAT MAY ARISE FROM (A) YOUR USE, MISUSE OR INABILITY TO USE THIS PLATFORM OR FOR ANY CONTENT, MATERIALS, SERVICES OR OTHER INFORMATION OBTAINED FROM OR THROUGH THE COMPANY AND (B) YOUR VIOLATION OF THESE TERMS AND CONDITIONS, AND (C) YOUR VIOLATION OF APPLICABLE LAWS OR REGULATIONS. WE RESERVE THE RIGHT, AT OUR OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU, IN WHICH EVENT YOU WILL COOPERATE WITH US IN ASSERTING ANY AVAILABLE DEFENSES. Internet Delays. USE OF THIS PLATFORM MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. COMPANY AND ITS PROVIDERS ARE NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.

You agree that Company, in its sole discretion, has the authority to remove any User Content if in Company’s sole discretion, the User Content is inaccurate, vulgar, defamatory, or otherwise inappropriate.  If you believe that User Content you find on the Platform is inappropriate or otherwise inaccurate, please let Company know and contact us.

 

DMCA Policy.  Company respects the intellectual property rights of others and expects its users to do the same. Pursuant to this goal and the Digital Millennium Copyright Act (DMCA). 17 U.S.C. Section 512(c), a copyright owner may submit a takedown request with the listed DMCA Agent below. Arbitration Rules.  Arbitration shall be initiated through the American Arbitration Association (“AAA”), an established alternative dispute resolution provider (“ADR Provider”) that offers arbitration as set forth in this section.  If AAA is not available to arbitrate, the parties shall agree to select an alternative ADR Provider.  The rules of the ADR Provider shall govern all aspects of the arbitration, including but not limited to the method of initiating and/or demanding arbitration, except to the extent such rules are in conflict with the Terms.  The AAA Consumer Arbitration Rules (“Arbitration Rules”) governing the arbitration are available online at www.adr.org or by calling the AAA at 1-800-778-7879.  The arbitration shall be conducted by a single, neutral arbitrator.  Any claims or disputes where the total amount of the award sought is less than Ten Thousand U.S. Dollars (US $10,000.00) may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief.  For claims or disputes where the total amount of the award sought is Ten Thousand U.S. Dollars (US $10,000.00) or more, the right to a hearing will be determined by the Arbitration Rules.  Any hearing will be held in a location within 100 miles of the primary office of the Company, unless you reside outside of the United States, and unless the parties agree otherwise.  If you reside outside of the U.S., the arbitrator shall give the parties reasonable notice of the date, time and place of any oral hearings. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.  If the arbitrator grants you an award that is greater than the last settlement offer that the Company made to you prior to the initiation of arbitration, the Company will pay you the greater of the award or $2,500.00.  Each party shall bear its own costs (including attorney’s fees) and disbursements arising out of the arbitration and shall pay an equal share of the fees and costs of the ADR Provider.

Additional Rules for Non-Appearance Based Arbitration.  If non-appearance based arbitration is elected, the arbitration shall be conducted by telephone, online and/or based solely on written submissions; the specific manner shall be chosen by the party initiating the arbitration.  The arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise agreed by the parties.

 

Time Limits.  If you or the Company pursue arbitration, the arbitration action must be initiated and/or demanded within the statute of limitations (i.e., the legal deadline for filing a claim) and within any deadline imposed under the AAA Rules for the pertinent claim.

Authority of Arbitrator.  If arbitration is initiated, the arbitrator will decide the rights and liabilities, if any, of you and the Company, and the dispute will not be consolidated with any other matters or joined with any other cases or parties.  The arbitrator shall have the authority to grant motions dispositive of all or part of any claim.  The arbitrator shall have the authority to award monetary damages, and to grant any non-monetary remedy or relief available to an individual under applicable law, the AAA Rules, and the Terms.  The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded.  The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have.  The award of the arbitrator is final and binding upon you and the Company.

Waiver of Jury Trial.  THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement.  Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in a court and are subject to very limited review by a court.  In the event any litigation should arise between you and the Company in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND THE COMPANY WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.

Waiver of Class or Consolidated Actions.  ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. 

 

Confidentiality.  All aspects of the arbitration proceeding, including but not limited to the award of the arbitrator and compliance therewith, shall be strictly confidential.  The parties agree to maintain confidentiality unless otherwise required by law.  This paragraph shall not prevent a party from submitting to a court of law any information necessary to enforce this Agreement, to enforce an arbitration award, or to seek injunctive or equitable relief.

Severability.  If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Agreement shall continue in full force and effect.

Right to Waive.  Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted.  Such waiver shall not waive or affect any other portion of this Arbitration Agreement.

Survival of Agreement.  This Arbitration Agreement will survive the termination of your relationship with Company.

Small Claims Court.  Notwithstanding the foregoing, either you or the Company may bring an individual action in small claims court.

 

Emergency Equitable Relief.  Notwithstanding the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration.  A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.

Claims Not Subject to Arbitration.  Notwithstanding the foregoing, claims of defamation, violation of the Computer Fraud and Abuse Act, and infringement or misappropriation of the other party’s patent, copyright, trademark or trade secrets shall not be subject to this Arbitration Agreement.

Courts.  In any circumstances where the foregoing Arbitration Agreement permits the parties to litigate in court, the parties hereby agree to submit to the personal jurisdiction of the courts located within Contra Costa County, California, for such purpose.

  1. ELECTRONIC COMMUNICATIONS

The communications between you and Company use electronic means, whether you use the Website or send us emails, or whether Company posts notices on the Website or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Company in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal requirement that such communications would satisfy if it were be in a hardcopy writing. The foregoing does not affect your non-waivable rights.

The provisions of these Terms and Conditions are intended to be severable.
